Call it what it is: not a gap, but a void. Most regulated companies, healthcare systems, financial institutions, pharmaceutical manufacturers, regulated SaaS, are deploying AI tools across their organizations right now without a governance framework, a risk inventory, or a clear owner. They know it. Their CISOs know it. And increasingly, their auditors are starting to notice.
The governance void isn't a failure of intent. It's a failure of pace. AI adoption moved faster than anyone's policy process could track, and most organizations are now managing a sprawling, largely invisible AI footprint with governance infrastructure designed for a world where software was something you bought from a vendor, installed, and documented.
The Shadow AI Reality
The average enterprise has dozens of unsanctioned AI tools in active use. Not tools the CISO approved. Not tools in the vendor management system. Tools employees found, found useful, and started using, often with proprietary data, customer information, and source code flowing through them daily.
In a recent discovery engagement with a mid-sized healthcare organization, we surfaced 34 distinct AI tools in use across clinical operations, billing, and IT, none of them formally approved, none of them reviewed for data handling compliance, and three of them with terms of service that explicitly permitted training on uploaded content. The clinical staff using them weren't malicious. They were trying to do their jobs faster. The organization had no process for them to do that safely.
This is the shadow AI problem, and it is not a technology problem. It is a governance problem. Technology can surface these tools. Governance determines what happens next.
What Happens When the Void Is Exposed
Governance voids don't stay invisible forever. They surface in three ways: an auditor asks a question you can't answer, a regulator requests documentation that doesn't exist, or a breach reveals data flows you didn't know were happening.
In regulated industries, all three of these are existential events, not inconveniences. A SOC 2 auditor finding undocumented AI tools in scope is an audit finding. An FDA inspector discovering AI-generated records without appropriate controls is a 483 observation. A breach traced to an unsanctioned AI tool that was processing customer data is a regulatory notification event and a customer trust collapse simultaneously.
The cost of reactive governance, governance you build after one of these events forces you to, is orders of magnitude higher than the cost of building it proactively. And the delay-and-hope strategy carries a risk that isn't theoretical anymore: regulators across sectors are actively developing AI-specific oversight frameworks, and the window to build governance on your own terms is closing.

The Standards Landscape Is Catching Up
ISO 42001, published in 2023, is the first international standard for AI management systems. It provides a structured framework for establishing, maintaining, and improving an organization's approach to AI, covering risk assessment, data governance, human oversight, and incident management. Customer questionnaires are already asking about it. Procurement teams at large enterprises are beginning to treat ISO 42001 alignment the way they treated SOC 2 five years ago: a differentiator now, a requirement soon.
On the threat side, the OWASP LLM Top 10 provides a practical risk taxonomy for AI systems, prompt injection, sensitive information disclosure, excessive agency, supply chain risks. It is the starting point for any honest risk assessment of the AI tools your organization is running, whether they were built internally or adopted from a vendor.
What Good Governance Actually Requires
Governance is not a policy document. It is not a checkbox. It is an operational capability, and it has five non-negotiable components in regulated environments:
- Policy with teeth: An AI acceptable use policy that defines what is permitted, what requires approval, and what is prohibited. Not a list of aspirations, a document with named owners and enforceable consequences.
- Ownership: A designated function, whether that's the CISO, a new AI risk function, or a cross-functional committee, with actual authority to approve, deny, and monitor AI tool use.
- Risk assessment: A repeatable process for evaluating AI systems against defined criteria: data handling, training policies, vendor security posture, access scope, and alignment with regulatory requirements.
- Vendor management: AI vendors are third parties with access to your data. They belong in your third-party risk management program. Their contracts need AI-specific provisions. Their training policies need to be reviewed annually.
- Ongoing monitoring: Governance isn't a one-time approval. AI tools evolve. Vendors update their models, their terms, and their data handling practices. Your governance function needs to track these changes and reassess accordingly.
The Business Case for Acting Now
The business cost of the governance void is not abstract. Audit findings delay certification timelines and require remediation spend. Regulatory actions trigger legal costs, consent obligations, and reputational damage. Customer trust, once broken by a data incident tied to an AI tool, is expensive to rebuild. And perhaps most practically: organizations without AI governance programs are increasingly finding that their AI adoption slows to a crawl, because every new use case stalls in a committee that has no framework for evaluating it.
Good governance doesn't slow AI adoption. It accelerates it. Organizations with a functioning AI risk assessment process can approve new tools in days instead of months, because they have a repeatable process for evaluation. They can say yes faster because they know what yes looks like.
The alternative is being forced to build governance under pressure, after an audit finding, after a breach, after a regulator asks a question you can't answer. At that point, you're not building governance. You're doing damage control.
The void is real. The cost of closing it proactively is a fraction of the cost of being forced to close it reactively. The organizations that move now will spend the next two years enabling AI adoption confidently. The ones that wait will spend them explaining what they should have done.
